Creator Agreement

Overview
This Creator Agreement (“Agreement”) governs your participation in the Koopi creator program, operated by Koopi.TV LLC, d/b/a Koopi LLC (“Koopi,” “we,” “us,” or “our”). It applies in addition to our Terms of Service, Community Guidelines, and Privacy Policy. By applying to become a creator or uploading content, you agree to this Agreement.
How your terms are set.When you create a Series you select one of four license tiers. The tier applies separately to each Series. Your executed Series order form, the tier schedule, and any signed addenda control over the summaries on this page and over general platform terms for ownership, rights, term, exclusivity, and compensation. Koopi will not reduce an existing Series' revenue percentages without mutual written agreement.
1. Eligibility & Authority
To join the creator program you must have a Koopi account in good standing, be at least the age of majority where you live, and provide accurate identity, payout, and tax information when requested. If you sign for an entity (for example a production company or loan-out), you represent that you have authority to bind it. If multiple people own or participate in your content, you must obtain their authorization and designate a single payee — Koopi has no duty to allocate payments among co-creators, cast, crew, guilds, licensors, or other participants, and you remain solely responsible for residuals, royalties, participations, and other third-party compensation. We may review, approve, or decline creator applications at our discretion.
2. The Four License Tiers
Each Series is licensed (or, for Tier 1, assigned) under one of the following tiers, chosen by you at Series creation. Revenue thresholds are per-Series, cumulative, and applied marginally — when revenue crosses a threshold, only the portion above it earns the new rate. Each tier's full terms — ownership, exclusivity, term, revenue ladder, exits, and promotion rights — live on its own page:
Koopi's exit. Koopi may terminate a Tier 2, 3, or 4 license at any time by written notice — the license ends and (for Tiers 2–3) exclusivity lifts and licensed rights revert to you. Tier 1 ownership does not revert, but Koopi may stop exploiting the Series at any time. Before a Series first airs, either party may terminate a Tier 2–4 Series immediately; only Koopi may terminate a Tier 1 Series pre-launch, and Tier 1 ownership transfers only upon the First Air Date. Tier changes for an existing Series require a written agreement accepted by both parties.
3. What Revenue Is Shared
Your share is calculated on Shareable Series Revenue, which is the sum of, per Series:
- Gross Advertising Revenue — advertising revenue Koopi actually receives that is directly attributable to your Series or its Episodes, excluding amounts reversed, refunded, charged back, or invalidated (for example fraud or invalid traffic).
- Net Coin-Skip Revenue — the net value of coins actually consumed to skip an ad on your Series, after app-store commissions, payment fees, taxes, refunds, and reversals. Promotional or complimentary coins for which Koopi received no payment generate no shareable revenue. If Koopi offers a subscription that includes ad-skip coins, a commercially reasonable portion of subscription proceeds is allocated to those coins and shared only when they are consumed on your Series.
Sponsorship, merchandising, licensing, and other revenue categories are excluded unless expressly added by addendum. Revenue accrues separately per Series — thresholds are not aggregated across your account. Attribution uses a consistently applied, commercially reasonable methodology disclosed in your statements.
4. Statements, Payouts & Audit
- Cadence. Tiers 1–3 are paid monthly within 15 days after month-end; Tier 4 quarterly within 30 days after quarter-end.
- Minimum payout. US$50, measured across all of your Series combined. Smaller balances carry forward without interest and are paid in full when all your licenses end.
- Statements. Each statement includes, where available, per-Episode and per-Series detail: views, watch time, ad impressions, fill, gross ad revenue, coin skips and their allocated value, adjustments, cumulative Series revenue, the marginal bands and rates applied, carryover, withholding, and amount due.
- Payment processor & currency. Payouts are made in U.S. dollars through our payout provider (Stripe); you must complete their onboarding and provide accurate tax and banking details.
- Adjustments. Amounts refunded, reversed, charged back, or identified as invalid traffic are excluded or corrected on a later statement, with material adjustments identified.
- Disputes. A statement becomes final 12 months after issuance unless you deliver a specific written dispute first (this limit does not apply to fraud or intentional concealment).
- Audit. Once in any 12-month period you may engage an independent CPA, under confidentiality, to audit the records behind your statements for the prior 12 months. If the audit shows underpayment above 5% for the period, Koopi reimburses reasonable audit costs and promptly pays the shortfall.
5. Content Approval & Underlying Rights
Every Episode requires Standards & Practices (S&P) approval before publication; Series approval does not guarantee approval of any individual Episode. There is no fixed limit on revisions and resubmissions. If 30 consecutive days pass without a submission capable of approval, Koopi may review the Series for stagnation — a communicated and accepted season break does not count. S&P approval is a platform decision, not legal clearance, and does not waive your warranties.
You must obtain and maintain all rights and clearances needed for Koopi's use of your content — including music, performances, scripts, locations, likenesses, minors, guild obligations, and AI-generated components — and provide documentation on request. If a rights conflict is identified, Koopi may reject, suspend, or remove the affected content unless a custom addendum is executed.
6. Editing, AI & Derived Materials
Koopi may edit, segment, reframe, caption, translate, dub, generate thumbnails and metadata for, analyze, and otherwise adapt your content for production, distribution, promotion, accessibility, safety, and monetisation. For Tiers 2–4, you own the Series-specific materials Koopi creates (edits, reframing data, captions, artwork), subject to Koopi's perpetual license to use them in connection with the Series and platform; on request after termination, Koopi may provide exportable versions where technically available. For Tier 1, Koopi owns all derivative materials and has sole creative control.
AI training and your opt-out. You grant Koopi a license to use your content and its performance data to develop and improve AI/ML systems, including generalized models. You may opt out of future generalized AI training at any time by written notice; after an opt-out Koopi will stop adding your materials to new training datasets and remove them from retraining datasets where technically and commercially feasible. The opt-out does not restrict the operational processing needed to run the platform (encoding, moderation, recommendations, reframing, captions), and cannot untrain models already trained.
7. Promotion & Posting Elsewhere
You may post promotional content about your Series on other platforms if the post is primarily promotional and includes a clear, working redirect to Koopi (link, on-screen text, or QR code — Koopi provides assets). For Tiers 1–3, you may not make available off-platform the full Series or more than 25% of the Episodes released on Koopi, measured by both episode count and total runtime (whichever is more restrictive; a fractional episode allowance rounds up). This cap does not apply to Tier 4. Koopi may use your approved name, likeness, and branding to promote your Series; implying your endorsement of unrelated products, or creating a synthetic replica of your identity outside your content and authorized dubbing, requires separate written consent.
8. Suspension, Removal & Effect of Termination
Koopi may suspend, edit, age-restrict, geo-block, demonetise, or remove any Episode or Series that it reasonably determines presents legal, rights, safety, advertising, technical, reputational, or policy risk, with notice where practicable. On expiration or termination of a Tier 2–4 license, Koopi promptly disables public availability and monetisation of the Series (retaining archival copies only for legal, security, accounting, and record-keeping purposes), exclusivity ends immediately, and revenue attributable to pre-termination exploitation is paid on the next statement. Amounts earned through termination are paid subject to valid reversals and adjustments.
9. Taxes
You are an independent contractor, not an employee, agent, or partner of Koopi, and you are solely responsible for your own taxes. You must provide accurate tax documentation (for example, a Form W-9 if you are a U.S. person, or an applicable Form W-8 if you are not) before we can pay you. Where required, we will issue tax forms (such as a Form 1099) and may withhold taxes as required by law.
10. Invalid Activity
You may not artificially inflate views, impressions, coin consumption, or earnings, including through bots, incentivised viewing, repeated self-views, or any deceptive means. You may not upload content you did not create or are not authorised to monetise. We may investigate suspected invalid activity, withhold or reverse affected earnings, and suspend or terminate monetisation or your account.
11. Indemnification & Liability
You agree to indemnify and hold harmless Koopi.TV LLC and its affiliates from claims, damages, and expenses (including reasonable legal fees) arising from your content, your breach of this Agreement, or your violation of any law or third-party right. Koopi does not guarantee impressions, views, ad fill, ranking, placement, or revenue. Koopi's liability to you is subject to the disclaimers and limitations of liability set out in the Terms of Service.
12. Changes to This Agreement
We may update this Agreement from time to time. If we make material changes, we will notify you and update the effective date above. Operational, safety, and S&P policies may be updated prospectively (or immediately where required for legal or platform protection), but Koopi will not reduce an existing Series' revenue percentages without mutual written agreement. Your continued participation after changes take effect constitutes acceptance.
