Creator Agreement

Overview
This Creator Agreement (“Agreement”) governs your participation in the Koopi creator program, operated by Koopi LLC (“Koopi,” “we,” “us,” or “our”). It applies in addition to our Terms of Service, Community Guidelines, and Privacy Policy. By applying to become a creator or uploading content, you agree to this Agreement. If there is a conflict between this Agreement and the Terms of Service on a creator-specific matter, this Agreement controls.
1. Eligibility
To join the creator program you must have a Koopi account in good standing, be at least 18 years old (or the age of majority where you live), and provide accurate identity, payout, and tax information when requested. We may review, approve, or decline creator applications at our discretion, and may require additional verification before enabling monetisation.
2. Your Content and Licence
You retain ownership of the content you upload (“Creator Content”). You grant Koopi a worldwide, non-exclusive, royalty-free, sublicensable licence to host, store, reproduce, reformat and reframe (including automatically generating vertical clips, shorts, and thumbnails from your source video), encode, promote, publicly perform, and distribute your Creator Content on and through the Services and in marketing of the Services. This licence lasts while your content is on the platform and for a reasonable period afterward to complete caching, backups, and analytics.
You represent and warrant that: (a) you own or have all rights, licences, and consents needed to upload your content and grant this licence, including rights to any music, footage, performances, and likenesses it contains; (b) your content and its distribution do not infringe or violate any third party's rights; and (c) your content complies with our Community Guidelines and applicable law.
3. Revenue Sharing
Where your content is eligible for monetisation, Koopi will share a portion of the net revenue it attributes to your content. Unless we agree otherwise in writing:
- Advertising revenue share. You receive 55% of the net advertising revenue Koopi attributes to your content. “Net revenue” means amounts actually received by Koopi from advertisers or ad networks, less advertising-network fees, payment-processing fees, refunds, chargebacks, and taxes.
- Other monetisation. Revenue from other creator monetisation features (if any) is shared at the rates disclosed for those features at the time.
- Attribution. Revenue is attributed to your content based on our measurement of ad impressions, eligible views, and engagement, as reflected in your Creator Hub dashboard.
We may change revenue-share rates prospectively by giving you notice; changes do not apply retroactively to amounts already earned. We do not guarantee any minimum level of views, impressions, or earnings.
Standard terms and addenda. The rates, thresholds, and timing set out in this Agreement are Koopi's standard terms. Koopi and a creator may agree to different or additional economic terms in a written addendum, insertion order, or separate signed agreement — for example, for exclusive content, licensing, minimum guarantees, or individually negotiated deals. Where such a document exists, its terms supersede the conflicting standard terms of this Agreement for that creator, to the extent of the conflict; all other terms of this Agreement continue to apply.
4. Payouts
- Payment processor. Payouts are made through our third-party payment/payout provider (Stripe). You must complete their onboarding and accept their terms to receive payments.
- Minimum threshold. Earnings are paid once your balance reaches US$50. Balances below the threshold roll over to the next period.
- Schedule. We calculate earnings monthly and pay eligible balances within 30 days after the end of each calendar month.
- Currency. Payouts are made in U.S. dollars (USD). You are responsible for any conversion or bank fees charged by your provider.
- Adjustments. We may withhold, offset, or reverse amounts associated with invalid activity, refunds, chargebacks, fraud, or breaches of this Agreement.
5. Taxes
You are an independent contractor, not an employee, agent, or partner of Koopi, and you are solely responsible for your own taxes. You must provide accurate tax documentation (for example, a Form W-9 if you are a U.S. person, or an applicable Form W-8 if you are not) before we can pay you. Where required, we will issue tax forms (such as a Form 1099) and may withhold taxes as required by law. Amounts we pay you are exclusive of any taxes you owe.
6. Invalid Activity
You may not artificially inflate views, impressions, or earnings, including through bots, incentivised viewing, repeated self-views, or any deceptive means. You may not upload content you did not create or are not authorised to monetise. We may investigate suspected invalid activity, withhold or reverse affected earnings, and suspend or terminate monetisation or your account.
7. Content Standards & Advertiser Suitability
To remain eligible for monetisation, your content must comply with our Community Guidelines and be suitable for advertisers. We may limit, pause, or remove monetisation for content that is not advertiser-friendly, and we may decide which advertisements appear alongside your content. You control certain ad settings for your episodes through the Creator Hub, subject to our policies.
8. Term, Suspension & Termination
Either party may end this Agreement at any time. You may leave the creator program by contacting us or through your account settings. We may suspend or terminate your participation, remove content, or withdraw monetisation if you breach this Agreement, the Terms of Service, or the law, or to protect the platform, advertisers, or other users. On termination, we will pay any undisputed earnings above the minimum threshold that you have properly earned, subject to verification and adjustments. Sections relating to licences already granted, warranties, indemnities, taxes, and limitations of liability survive termination.
9. Indemnification & Liability
You agree to indemnify and hold harmless Koopi LLC and its affiliates from claims, damages, and expenses (including reasonable legal fees) arising from your Creator Content, your breach of this Agreement, or your violation of any law or third-party right. Koopi's liability to you is subject to the disclaimers and limitations of liability set out in the Terms of Service.
10. Changes to This Agreement
We may update this Agreement from time to time. If we make material changes, we will notify you and update the effective date above. Changes to revenue-share rates or payout terms apply prospectively. Your continued participation in the creator program after changes take effect constitutes acceptance.
